The following terms and conditions are applicable for vendors of both Divya Dukaan (www.divyadukaan.com) and Astro River (www.astroriver.com)
Purchase Orders
1. Legally Binding
This Purchase Order (PO) is a legally binding contract between the Buyer and the Seller.
2. Acceptance
The PO is an offer by the Buyer to the Seller to purchase the specified goods or services. Acceptance of the PO shall be deemed to have occurred upon the Seller's commencement of performance or acceptance of the purchase price, whichever is earlier.
3. Pricing
Unless otherwise stated, all prices are quoted in INR and are inclusive of taxes, duties, and other applicable charges. The Seller shall be responsible for all taxes, duties, and other applicable charges imposed on the goods or services.
4. Delivery
- Delivery shall be made to the address specified on the PO.
- The Seller shall be responsible for all shipping costs and risks associated with delivery. Shipping charges are applicable only if already included in the PO.
- The Seller shall provide the Buyer with a tracking number or other proof of shipment upon delivery.
- Failure to deliver within the specified timeframe may result in liquidated damages or termination of the PO.
5. Payment
- Payment shall be made within 15 days of the Seller's submission of a valid invoice.
- The Buyer may withhold payment if the goods or services do not conform to the PO or are defective.
- If payment is made in advance for any reason before the goods are received, the buyer will have the option to return the items and ask for a refund. All refunds must be processed within 7 days of requesting the refund.
6. Warranty
- The Seller warrants that the goods or services will be free from defects and will conform to the specifications set forth in the PO.
- The Seller shall repair or replace any defective goods or services at its own expense.
7. Intellectual Property
- The Seller shall retain ownership of all intellectual property rights related to the goods or services.
- The Seller grants the Buyer a non-exclusive license to use the goods or services for its own internal purposes.
8. Force Majeure
Neither party shall be liable for any delay or failure to perform due to causes beyond its reasonable control, such as acts of God, natural disasters, war, or governmental actions.
9. Governing Law and Jurisdiction
- The PO shall be governed by and construed in accordance with the laws of the State of Punjab, India.
- Any disputes arising under the PO shall be resolved exclusively in the courts of competent jurisdiction located in Jalandhar, Punjab, India.
10. Dispute Resolution
Any disputes arising under the PO shall be resolved through [negotiation, mediation, arbitration, or litigation].
11. Severability
If any provision of the PO is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12. Entire Agreement 1
The PO constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
13. Amendments
Any amendments to the PO must be made in writing and signed by both parties.
